CONTRACT ATTORNEY
Major financial institution, located in Boston, Massachusetts, is seeking a Contract Attorney for long-term assignment (with strong potential for extension and/or hire).
This is a full-time assignment with job description as follows:
- Provide legal support to the U.S. Investor Services Division, whose business units service registered mutual funds and other domestic investment products.
- Negotiate custody, fund accounting and other contracts with fund customers, their administrators, investment advisers and others.
- Support new fund launches, conversions, mergers and other transactional activity.
- Support marketing, sales and relationship management activities.
- Support new product and technology initiatives.
-Advise operations and relationship managers regarding laws and regulations governing registered mutual funds, private funds, trust companies, separately managed accounts, insurance assets, Section 529 plans, pension assets and collective investment vehicles.
- Participate in business intake process with business units, risk and compliance areas.
- Support risk management, audit and corporate policy compliance efforts.
-Review SAIs, prospectuses and other constitutive documents.
-Work with Bank affiliates and internal legal colleagues to address joint servicing models and other Bank-wide legal and regulatory initiatives.
-Handle multiple projects and deadlines simultaneously with careful legal analysis and attention to detail.
-Exercise sound business and legal judgment and demonstrate highest degree of professionalism in dealing with clients and colleagues.
-Responsible for foreseeing and protecting the company against legal risks.
Educational Requirements:
- JD from accredited law school and Bar admission is required.
Experience:
- 3-5 years law firm experience in corporate law (e.g., securities, derivatives, secured lending, transactional UCC and Investment Company Act areas) with top Boston or New York law firm.
